Tradecraft Terms of Service

Effective date: October 9, 2026

Summary

These Terms are an agreement between you and Cabra Development Inc. They cover your Tradecraft account, the Tradecraft Shopify app and its media features, and the service that gives you access to Tradecraft releases. The Tradecraft License covers the software itself. Tradecraft is for business use, and access is by invitation. Your photos and catalog data stay yours. We use them only to run the service, which includes analysis by AI providers. AI output can be wrong, so review it before you publish it to your store. You get release access when the Tradecraft app is installed on a store that holds a license for one of our themes. You must not use Tradecraft to build themes or apps for others, to compete with us, or to train AI models. Tradecraft comes without warranties, and our liability is limited. British Columbia law applies.

This summary helps you read the Terms. It is not a part of them.

1. About these Terms

1.1. Cabra Development Inc. is a British Columbia corporation. It also trades as Groupthought. In these Terms, "we," "us," and "our" mean Cabra Development Inc. We are the Licensor named in the Tradecraft License.

1.2. "You" means the person or business that accepts these Terms. If you accept these Terms for a business, you confirm that you have the authority to bind that business. Then "you" means that business and you.

1.3. You accept these Terms when you accept an invitation, create your password, sign in, install the App, or use the Service. If you do not agree, do not use the Service.

2. Definitions

These Terms use the defined terms of the Tradecraft License, such as Software, Theme, Licensed Store, Merchant, and Customizations, with the same meanings. These Terms also use the terms below.

3. Who can use the Service

3.1. The Service is for business use only. You may use it only for work on Shopify stores, as a Merchant or as a person or business that works for a Merchant, such as an employee, agency, freelancer, or developer. Do not use the Service as a consumer for personal, family, or household purposes.

3.2. Access is by invitation. We decide whom to invite, and we can stop sending invitations at any time.

3.3. You must be at least 18 years old and at least the age of majority where you live.

3.4. You must not use the Service if you are a person or business that sanctions or export laws stop us from dealing with. Section 19 gives more detail.

4. Accounts and security

4.1. Your Account has your name, your email address, and a password. You can also link your Shopify account, which signs you in to the same Account by email address. Keep your information correct.

4.2. Your Account is for you only. Do not share your password, your sign-in, or your tokens with another person. Each person on a team must use their own Account.

4.3. You are responsible for the security of your password, and of the computers, CI systems, and storage where you keep CLI tokens. If you think that someone else has them, change your password, run tradecraft login again, and tell us at help@groupthought.com.

4.4. You are responsible for what happens under your Account, unless the cause is our failure to protect the Service.

5. Release Access and license checks

5.1. When you add the App to a store, this shows that you have access to that store. Your Account gets Release Access only when the App is installed on at least one store of your Account that is a Licensed Store for Pipeline, Story, or Analog.

5.2. We decide whether a store is a Licensed Store from our purchase records, such as Shopify Theme Store sales for that store's domain, and from the outcomes of copyright cases that we handle, such as DMCA notices. A computer program makes this decision. If you think the decision is wrong, contact us, and a person will review it.

5.3. Each Release Access token lasts 1 hour and can only read the Release Repository.

5.4. Release Access depends on the license status of your stores. When no store of your Account holds a license, or when you remove the App from your last Licensed Store, Release Access stops.

6. The Software and the Tradecraft License

6.1. The Tradecraft License governs your use of the Software, including the CLI, the packages, the Themes, and the agent skills, wherever you got your copy. These Terms do not change the Tradecraft License. If these Terms and the Tradecraft License conflict about the Software, the Tradecraft License controls.

6.2. These Terms govern the Service. The Service is how we deliver the Software and the Media Features. It is not a part of the license grant.

6.3. Your Shopify Theme Store license, and Shopify's terms for it, govern your right to use a Theme on a store.

7. Your Content and the Media Features

7.1. You keep your rights. You and the Merchant keep all rights in Your Content and in your Customizations. We claim no ownership of Your Content or of the Output made from it.

7.2. Our limited license. You give us a worldwide, non-exclusive, royalty-free license to host, copy, store, resize, analyze, and change Your Content, and to make Output from it, only to provide the Service to you. This includes sending Your Content to the AI providers and other service providers named in our Privacy Policy, for that purpose only. This license ends when we delete Your Content, as section 14 describes.

7.3. Your rights to Your Content. You confirm that you have the rights and permissions needed to give us Your Content and the license in section 7.2. This includes content you import from Dropbox, Google Drive, or a store you work on for a Merchant. If a photo shows a person, you confirm that you have that person's permission to use the photo for your business.

7.4. AI output. The Media Features use AI to analyze photos and to make Output. AI can make mistakes. Output can be wrong, incomplete, or not suitable for your store. Review Output before you publish it.

7.5. Changes to your store. The App can read and write products, files, and themes on a store where it is installed. The App writes to your store only when you or a person on your Account asks it to. You are responsible for the changes that you publish. Keep backups of your themes and store data.

7.6. Connected accounts. You can connect a Dropbox or Google Drive account. The App reads only the files that you select. You can disconnect the account at any time.

7.7. Photo metadata and your website. The App reads the metadata in your photos, such as the date, the camera, and the location. It also reads your store's public website to learn about your brand. Our Privacy Policy describes how we use this data.

7.8. Activity log. The App records who made each change in the App, including changes that an AI made, so that your team can see who changed what.

7.9. Personal information in Your Content. Your Content can include personal information, such as people who appear in photos and the location in photo metadata. For that information, we act as the Merchant's service provider. We process it only on the Merchant's instructions, to provide the Service. The Merchant is responsible for having the rights to it and for giving any notices that the law requires. If your business needs a data processing agreement, ask us at help@groupthought.com.

8. Fees

The Service is included with a Theme license that you buy through the Shopify Theme Store. We charge no separate fee for the Service today. If we add a fee, we will tell you at least 30 days before it applies. A fee applies to you only if you agree to it.

9. Acceptable use

You must not:

  1. use the Service, the Software, or anything you get through the Service in a way the Tradecraft License does not allow. This includes making themes, theme libraries, or theme generators for others; making apps or services for merchants; and making a product or service that competes with Tradecraft;
  2. use the Service or the Software, or any materials you get through the Service, to train or fine-tune a machine learning model. Using AI assistants and agents to do work that the Tradecraft License permits is allowed;
  3. remove, disable, or work around a license check, access control, rate limit, or security measure;
  4. get Release Access for a store that is not a Licensed Store, or use one store's license for a different store;
  5. share tokens, or copy the Release Repository to a place where people without Release Access can read it;
  6. upload or import content that you have no right to use, or content that is illegal;
  7. access the Service with automated tools in a way that puts an unreasonable load on it, except through the CLI as designed;
  8. probe, scan, or test the Service for weaknesses without our written permission;
  9. use the Service to break a law or to infringe the rights of another person; or
  10. upload malicious code, or use the Service to send unwanted messages.

10. Third-party services

10.1. The Service depends on services from other companies. These include Shopify, which runs the app platform and the Theme Store; GitHub, which hosts the Release Repository; Heroku, which hosts the App; Amazon Web Services, which stores photos; and Google Cloud, which runs the AI analysis. Our Privacy Policy lists them all. Your use of Shopify, GitHub, Dropbox, and Google Drive is also subject to their own terms.

10.2. The CLI uses the Shopify CLI to read and write theme files on your stores. These files go between your computer and Shopify. The CLI does not send them to us.

10.3. We are not responsible for the services of other companies, or for changes they make. If a change by another company stops a part of the Service from working, we can change or remove that part.

11. Privacy

11.1. Our Privacy Policy tells you what personal information we collect and how we use it. It is at https://tradecraft.tools/privacy.

11.2. If you give us information about other people, such as members of your team or people in photos, you confirm that you have the right to do so.

12. Intellectual property and feedback

12.1. We, and the companies that license to us, own the Service and the Software. This includes the names Tradecraft and Groupthought, our logos, and the Theme names. These Terms give you no right to use our names or logos, except to describe accurately that your work uses Tradecraft.

12.2. Who owns your Customizations is set by the Tradecraft License.

12.3. If you send us ideas, suggestions, or bug reports, we can use them for any purpose without payment or obligation to you. We do not get rights in Your Content because you sent feedback.

13. Suspension and termination

13.1. You can stop using the Service at any time. To close your Account, contact us at help@groupthought.com.

13.2. We can suspend or end your Release Access for a store, or your Account, if:

  1. the store loses its Theme license, or our records show that it never had one;
  2. a DMCA case or another copyright case about the store or your Account ends with a finding of unlicensed use;
  3. you break these Terms or the Tradecraft License;
  4. we must do so because of a law, a court order, or a request from Shopify or GitHub; or
  5. your use puts the Service, other users, or us at risk.

13.3. Before we suspend or end access, we tell you why and give you a reasonable time to fix the problem, when we can. We do not need to wait if the problem is a security risk or a serious violation, or if the law does not let us wait. When a license problem is fixed, such as by a license purchase, we restore Release Access.

13.4. We can end the Service for all users. We will give at least 90 days' notice, so you can export Your Content.

13.5. When your Account ends, Release Access stops, and you must delete your tokens. The Tradecraft License for Software you already have continues under its own terms. These Terms do not end it.

13.6. These sections continue after your Account ends: 7.1, 7.3, 9, 12, 13.5, 14, and 16 to 24.

14. Deletion and export of Your Content

14.1. When you remove the App from a store, the App stops reading from and writing to that store. Shopify then asks us to delete that store's data. Within 30 days of that request, we delete the store's catalog copy, photos, and analysis, as our Privacy Policy describes.

14.2. You can ask us to delete Your Content, or to give you a copy of it, at any time. Contact us at help@groupthought.com. We answer within 30 days.

14.3. We can keep a copy where the law requires it, and in backups until they expire.

15. Changes to the Service and these Terms

15.1. We change and improve the Service. We can add, change, or remove features.

15.2. We can change these Terms. If a change is material, we tell you at least 30 days before it applies, by email or in the App. A change that a law requires, or that fixes a security problem, can apply sooner. If you use the Service after a change applies, you accept the new Terms. If you do not accept them, stop using the Service.

16. Disclaimers

16.1. We provide the Service and the Output "as is" and "as available." To the extent the law allows, we give no warranties or conditions, express or implied. This includes warranties or conditions of merchantability, quality, fitness for a particular purpose, title, accuracy, and non-infringement. We do not promise that the Service will always be available or free of errors.

16.2. The Software, the agent skills, and the Media Features can make changes to your stores, and AI can make errors. You are responsible for your stores.

17. Limitation of liability

17.1. To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages. We are also not liable for lost profits, revenue, sales, data, or goodwill. This applies even if we knew that such damages were possible.

17.2. To the extent the law allows, our total liability for all claims about the Service or these Terms is limited to the greater of:

  1. the amount that you paid for Theme licenses for your stores in the 12 months before the event that caused the claim; and
  2. 100 Canadian dollars.

17.3. These limits do not apply to liability that the law does not let us limit, such as liability for fraud, or for death or personal injury that our negligence caused.

18. Indemnity

You will defend us and pay the costs, damages, and reasonable legal fees that come from a claim by another person about:

  1. your breach of these Terms or the Tradecraft License;
  2. Your Content, including a claim that it infringes the rights of another person;
  3. your Customizations, or your store and the changes you publish to it; or
  4. your violation of a law or the rights of another person.

We will tell you about the claim promptly. We will let you control the defense, and we will help you in reasonable ways at your cost. You must not settle a claim in a way that gives us an obligation without our written consent.

19. Export controls and sanctions

You must obey the export control and sanctions laws that apply to you and to the Service, including those of Canada and the United States. You must not use or make the Service available in a country or region under comprehensive sanctions, or to a person that a sanctions list names. You confirm that you are not such a person.

20. Governing law and disputes

The laws of the Province of British Columbia and the federal laws of Canada that apply there govern these Terms. The courts of British Columbia, in the Vancouver registry, have exclusive jurisdiction over any dispute about these Terms or the Service. You and we agree to that jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

21. Local law

Some laws do not let a contract exclude warranties or limit liability in the ways these Terms do. Some laws also give rights that a contract cannot remove, or require that a local court can hear a dispute. Where such a law applies to you, these Terms apply only to the extent that the law allows, and you keep those rights.

22. Language

22.1. These Terms are in English. If we give you a translation, the English version controls, unless the law requires otherwise.

22.2. Quebec. You and we have asked that these Terms and all related documents be in English. Les parties ont exigé que les présentes conditions et tous les documents connexes soient rédigés en anglais. If you are in Quebec, you can ask for a French version at help@groupthought.com before you accept these Terms.

23. Notices and contact

23.1. We send notices to the email address of your Account, or we show them in the App. A notice by email is given when we send it.

23.2. Send notices to us at:

Cabra Development Inc. 204 - 1055 Millar Creek Road Whistler, BC V8E 0K7 Canada help@groupthought.com

23.3. For support, contact help@groupthought.com.

24. General

24.1. Entire agreement. These Terms, the Privacy Policy, and the Tradecraft License are the entire agreement between you and us about the Service and the Software. They replace earlier agreements about the same subject.

24.2. Severability. If a court finds a part of these Terms unenforceable, that part applies to the greatest extent the law allows, and the other parts stay in force.

24.3. Assignment. You must not transfer these Terms or your Account without our written consent. We can transfer these Terms to an affiliate, or as part of a merger, acquisition, or sale of assets. We will tell you if we do.

24.4. No waiver. If we do not enforce a part of these Terms, we can still enforce it later.

24.5. Events outside our control. We are not liable for a delay or failure that comes from an event we cannot reasonably control, such as an outage at Shopify, GitHub, Heroku, Amazon Web Services, or Google Cloud.

24.6. Relationship. You and we are independent parties. These Terms do not make a partnership, employment, or agency relationship.

24.7. No third-party rights. These Terms give no rights to anyone other than you and us.
